Our Approach
STRUCTURE CREATES THE RETURN
The platforms we acquire integrate into existing industrial lines as a unified dry-processing system — delivering better wash performance, enhanced durability, lower processing costs, and elimination of PFAS chemistry, process wastewater, and chemical effluent at source. The operational case stands independently of any policy or sustainability tailwind. The acquisition model, combined with strategic LP validation, consistently outperforms growth equity at equivalent exit multiples.
BUILT INTO THE STRUCTURE

Distressed entry: acquire at a fraction of going-concern value. The entry price, not the technology, creates out performance.

Non-dilutive capital Grant funding covers capital expenditure. LP capital is preserved for IP acquisition and commercial build-out.

Process Intelligence and Fund Structure
Plasma Matters
A specialist process software business that de the intelligence layer that makes the Phase-On machine commercially deployable at industrial scale. MTIF is sponsoring the completion of its final verification program, targeted for November 2026.
Full process control
The software controls plasma intensity, dwell time, fabric speed, and treatment uniformity — and can operate either embedded within the Phase-On machine or as a standalone process management layer, depending on customer deployment. Its output is a validated parameter library—a proprietary set of verified process specifications for each material type and application vertical (footwear, automotive, and workwear)—enabling repeatable, right-first-time results across every machine placement.
The MTIF
Materials Transition Infrastructure Fund. MTIF FGR is a Dutch Fonds voor Gemene Rekening targeting industrial IP platforms in textiles, footwear, and advanced materials manufacturing. The fund acquires controlling positions in IP-rich platforms and builds commercial revenue through licensing, machine placement, and processing fees across European and Asian markets.

The Kohi Capital FGR platform is designed to accommodate a widening portfolio of industrial process companies — each held within its own sub-fund, with independent capital structures and investor entry, under a single regulated Dutch framework.

Scott Clark

Scott is the General Partner and Sponsor of Kohi Capital, responsible for deal origination, fund structuring, and portfolio oversight. He leads the MTIF strategy from acquisition through to commercial execution and exit.
Scott brings a principal-led approach to industrial IP investing — working directly alongside portfolio company founders and operating partners to build commercial revenue from proprietary process technology. He is based in the U.S. and the Netherlands.
Miljan Todorovic

Miljan leads investor relations, process and software validation, and LCA compliance. His background spans early-stage investments via his own venture fund, compliance and operations across regulated financial and infrastructure institutions in the U.S., Europe, and the Middle East.
Miljan brings the institutional rigour that Sustainability-mandated LP structures require — translating process validation and lifecycle compliance into investor-ready frameworks across both sub-funds. He is based in the U.S. and Italy
